1. Agreement to Terms

Welcome to Dial Milo. These Terms of Service ("Terms") constitute a legally binding agreement between you and Inhype Live Limited ("Company," "we," "us," or "our"), a company registered in the United Kingdom (Company Number: 13379772).

By accessing or using Dial Milo at dialmilo.com (the "Service"), or by making any purchase, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Explicit Agreement: You explicitly agree to these Terms by:

  • Creating an account on Dial Milo
  • Making any purchase or adding credits to your account
  • Configuring an AI receptionist or connecting a phone number to the Service
  • Continuing to use the Service after any modifications to these Terms

Affirmative Consent: Each time you make a purchase, you affirmatively consent to:

  • These Terms of Service in their entirety
  • Our No Refund Policy (Section 4.3)
  • Our Chargebacks and Payment Disputes policy (Section 4.4)
  • The immediate delivery of digital services upon payment

2. Description of Service

Dial Milo is an AI-powered receptionist service for small businesses. It answers inbound phone calls on your behalf using a configurable conversational AI agent, can transfer calls to a human, take messages, book appointments into your calendar, send follow-up SMS, and query a knowledge base you provide.

Service Features:

  • AI receptionist that answers calls 24/7 in your business's voice
  • Configurable script, voice, tone, business hours, and after-hours behaviour
  • Phone number provisioning (purchase a new number or forward an existing one)
  • Knowledge base for the AI to consult about your business
  • Optional integrations: Google Calendar (for booking), and others added over time
  • Call transcripts and message capture
  • Pay-as-you-go pricing with no monthly subscription

Service Availability:

  • The Service is provided "as is" and "as available"
  • We do not guarantee uninterrupted or error-free service
  • Service availability may vary based on third-party telephony carrier and AI provider availability
  • Planned maintenance will be communicated in advance where practical

3. Account Registration and Eligibility

3.1 Eligibility

To use Dial Milo, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Have the authority to receive calls on the phone numbers you connect to the Service

3.2 Account Registration

You agree to:

  • Provide truthful, accurate, and complete information
  • Update your information to keep it current
  • Maintain the confidentiality of your password
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account, including calls answered, messages sent, and appointments booked by the AI on your behalf

3.3 Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Provide false or misleading information
  • Engage in fraudulent or illegal activities
  • Fail to pay outstanding balances
  • Use the Service in a way that materially harms callers (e.g. deceptive impersonation)

4. Payment and Billing

4.1 Pay-As-You-Go Model

Dial Milo operates on a prepaid credit system:

  • You purchase credits in advance via Stripe
  • Credits are deducted per minute of call time and per chargeable event (e.g. SMS sent, appointment booked)
  • No monthly subscription fees or hidden charges
  • Per-unit rates are published in your dashboard and may change with reasonable advance notice
  • Auto top-up, if you enable it, charges your saved card when your balance falls below a threshold you choose

4.2 Payment Processing

  • Payments are processed securely through Stripe
  • We accept major credit and debit cards
  • You authorize us to charge your payment method for credit purchases (including auto top-ups you have enabled)
  • All prices are in USD unless otherwise stated

4.3 No Refund Policy

ALL SALES ARE FINAL. We do not offer refunds for any reason, including but not limited to:

  • Purchased credits (used or unused)
  • Calls completed by the AI receptionist
  • Calls that did not complete due to caller hangup, network issues, or carrier rejection
  • SMS, bookings, or other chargeable events triggered by the AI on your behalf
  • Service interruptions or unavailability
  • Misconfiguration of your receptionist script, voice, or business hours
  • Changes of mind or buyer's remorse
  • Account termination or suspension
  • Duplicate purchases or accidental transactions

Credit Expiry:

  • Your credits never expire
  • You may use your credits at any time at your own pace
  • There are no time limits or expiration dates on account balances

Acknowledgment: By purchasing credits, you explicitly acknowledge and agree that:

  • You have read and understood this no-refund policy
  • All purchases are final and non-refundable
  • You waive any right to dispute, chargeback, or claim a refund
  • You are purchasing prepaid digital services that are delivered immediately upon purchase

4.4 Chargebacks and Payment Disputes

BY USING THIS SERVICE AND MAKING A PURCHASE, YOU AGREE TO THE FOLLOWING:

Prohibited Actions: You explicitly agree NOT to:

  • File a chargeback with your bank or card issuer
  • Dispute any charge through your payment provider
  • Claim unauthorized use after voluntarily making a purchase
  • Request a reversal of payment after service delivery
  • Make false claims of fraud or non-delivery

Service Delivery: You acknowledge that:

  • Credits are delivered immediately upon successful payment
  • The Service is activated instantly and accessible in your account
  • You receive full access to use credits as soon as they post to your balance
  • The digital product has been delivered in full upon credit activation

Chargeback Consequences: If you initiate a chargeback, dispute, or payment reversal:

  • Your account will be immediately suspended or terminated
  • All unused credits will be forfeited without compensation
  • You will be permanently banned from using Dial Milo
  • We reserve the right to pursue legal action to recover losses
  • We may report fraudulent chargebacks to relevant authorities
  • You will be liable for all costs, fees, and legal expenses incurred
  • Your information may be shared with fraud prevention databases

Dispute Resolution: If you have any billing concerns or issues:

  • You MUST contact us first at [email protected]
  • Allow us 48 hours to investigate and respond
  • We will work in good faith to resolve legitimate concerns
  • Only after exhausting this process may you consider other options

Fraudulent Disputes: We actively combat fraudulent chargebacks by:

  • Maintaining detailed transaction records and logs
  • Providing comprehensive evidence to payment processors
  • Documenting service delivery and account activity
  • Tracking IP addresses, timestamps, and usage patterns
  • Cooperating with fraud prevention networks

Acknowledgment Required: By completing a purchase, you confirm that:

  • You are the authorized user of the payment method
  • You understand this is a prepaid digital service with no refunds
  • You will not dispute legitimate charges
  • You have read and agree to this chargeback policy
  • You waive any right to chargeback except in cases of actual unauthorized card use by a third party

4.5 Taxes

You are responsible for all applicable taxes, including:

  • Value Added Tax (VAT) where applicable
  • Sales tax in your jurisdiction
  • Telecommunications taxes and regulatory fees

5. Service Usage and Limitations

5.1 Fair Use

The Service is intended for normal business call handling. We may limit or suspend service if you:

  • Generate unusual call patterns indicative of automated dialing into the Service for testing/abuse
  • Connect numbers you are not authorised to receive calls on
  • Use the AI receptionist to mislead callers in ways that constitute fraud or impersonation of a regulated profession (e.g. claiming to be a licensed medical, legal, or financial professional without authority)
  • Exceed reasonable usage thresholds in a way that destabilises shared infrastructure

5.2 Call Quality and Reliability

Call quality and AI responsiveness depend on:

  • Caller network conditions
  • Our upstream telephony carrier(s) and AI provider(s)
  • Network congestion and routing
  • Complexity of the conversation and the configuration you have supplied

We do not guarantee specific call quality or transcription accuracy levels but strive to provide a reliable service.

5.3 Emergency Services

IMPORTANT: Dial Milo is NOT a replacement for traditional phone service and must NOT be relied on for handling emergency calls. The AI receptionist is not trained to dispatch emergency responders, and emergency callers should always reach a human or dial emergency services directly (911, 999, 112, etc.).

If your business commonly receives calls that may be emergencies (e.g. medical, safety-critical), you are responsible for configuring the Service to transfer such calls promptly to a human and for clearly informing your callers of alternative emergency channels.

5.4 Service Limitations

The Service may not support:

  • Emergency-service routing (911, 999, 112)
  • Premium-rate numbers as transfer destinations
  • Certain destination numbers (subject to carrier restrictions)
  • Inbound MMS or multimedia messages
  • Calls in some regions where carrier coverage is unavailable

5.5 Caller Notice and Consent

You are responsible for complying with all applicable laws governing the use of AI agents on phone calls in your jurisdiction, including any obligation to disclose to callers that they are speaking with an AI and any obligation to obtain consent before recording. The Service provides configurable compliance toggles (AI disclosure, recording disclosure, opt-out handling) which you should configure appropriately for your jurisdiction.

6. Intellectual Property Rights

6.1 Our Property

The Service and its original content, features, and functionality are owned by Inhype Live Limited and protected by:

  • Copyright laws
  • Trademark laws
  • Trade secret laws
  • Other intellectual property rights

6.2 Your License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal or internal business purposes
  • Use the Service in compliance with these Terms

You may NOT:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or decompile the Service
  • Remove copyright or proprietary notices
  • Use the Service to build competitive products
  • Resell the Service or repackage AI receptionist capability to third parties without our written consent

6.3 Your Content

You retain ownership of the content you upload (knowledge base documents, scripts, business information). You grant us a non-exclusive license to use that content solely to operate the Service on your behalf — for example, indexing knowledge base content so the AI can retrieve it during calls.

6.4 Trademarks

"Dial Milo" and associated logos are trademarks of Inhype Live Limited. You may not use our trademarks without prior written permission.

7. User Conduct and Acceptable Use

You agree to use the Service in compliance with all applicable laws.

Prohibited Activities:

  • Illegal activities or fraud
  • Harassment, threats, or abuse of callers
  • Spam, scam operations, or unsolicited outbound communications (e.g. robocalls without consent)
  • Unauthorized access or hacking attempts
  • Reselling the Service without authorization
  • Using the AI to provide medical, legal, or financial advice without appropriate licensing and disclosures
  • Violation of third-party rights, including privacy rights of callers

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with GDPR and UK data protection laws. Call audio, transcripts, knowledge base content, and account data are handled as described in that policy.

9. Disclaimers and Warranties

9.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Accuracy or reliability of AI-generated responses, transcriptions, or summaries

9.2 No Guarantee of AI Accuracy

The AI receptionist may occasionally produce inaccurate, incomplete, or unexpected responses. You are responsible for reviewing the AI's behaviour (e.g. via transcripts) and adjusting your script, knowledge base, and compliance settings to fit your needs. We do not guarantee that the AI will always behave exactly as you intend.

9.3 Third-Party Services

We rely on third-party telecommunications carriers, cloud infrastructure, and AI providers. We are not responsible for:

  • Carrier network failures or outages
  • Destination network restrictions
  • International telecommunications regulations
  • Third-party AI provider outages, model changes, or restrictions
  • Third-party service interruptions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities (including missed bookings or business missed because of AI behaviour)
  • Loss of data or information
  • Service interruptions or delays
  • Unauthorized access to your account
  • Decisions you or third parties make based on AI-generated content from the Service

10.2 Maximum Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100 (ONE HUNDRED POUNDS), WHICHEVER IS GREATER.

10.3 Jurisdictional Limitations

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Inhype Live Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your violation of third-party rights
  • Content you upload, scripts you configure, or actions the AI takes on your behalf

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Contacting us at [email protected]
  • Following account closure procedures in your account settings
  • Note: No refunds will be provided for unused credits upon voluntary termination

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You breach these Terms or our Acceptable Use Policy
  • We are required to do so by law
  • We discontinue the Service (with 30 days' notice)
  • Your account has been inactive for 12+ months

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • All unused credits will be forfeited with no refund
  • We may delete your account data per our data retention policy
  • Provisions that should survive termination will continue to apply
  • You remain liable for any outstanding obligations or violations

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for resolution of any disputes.

13.3 Informal Resolution

Before initiating formal legal proceedings, you agree to:

  • Negotiate in good faith to resolve the matter
  • Allow 30 days for informal resolution attempts

13.4 Arbitration (Optional)

Where permitted by law, disputes may be resolved through binding arbitration under the rules of:

  • The London Court of International Arbitration (LCIA)
  • Or a mutually agreed arbitration service

14. Changes to Terms

14.1 Modification Rights

We reserve the right to modify these Terms at any time. We will:

  • Update the "Last Updated" date
  • Notify you of material changes via email or Service notification
  • Provide 30 days' notice for material changes affecting your rights

14.2 Acceptance of Changes

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may request account termination.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inhype Live Limited regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:

  • Natural disasters
  • Wars or terrorism
  • Internet or telecommunications failures
  • Government actions or regulations
  • Pandemics or public health emergencies
  • Third-party AI provider outages or model unavailability

15.6 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
